Terms of Service

These Terms of Service (“Terms”) govern your access to and use of TaxSpring (“we”, “us”, or “our”) and its bookkeeping and quarterly tax estimation service (the “Service”). By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, please do not use the Service.
1. The Service
The Service is a web-based bookkeeping and quarterly tax estimation tool designed for creators, freelancers, and independent sellers. It includes features such as manual and CSV-imported transaction recording, AI-assisted transaction categorization, mileage tracking, quarterly tax estimates with safe harbor progress, filing deadline reminders, and reports with CSV export. The Service is a planning and organization tool only; it does not prepare, submit, or file tax returns, and it does not provide professional tax, legal, or accounting services.
2. Eligibility and Accounts
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. You agree to provide accurate, current, and complete information when creating an account and to keep that information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us promptly of any unauthorized use of your account.
3. Free and Paid Plans
The Service is offered on a free plan and one or more paid plans. The free plan includes a limited set of features, such as a monthly limit on transactions recorded and the number of platforms tracked, as displayed in the Service. Paid plans (for example, Pro) unlock additional or unlimited features and are described on our pricing page. We may change plan features, limits, or pricing from time to time; if a change affects a paid plan you are subscribed to, we will provide notice as required by applicable law.
4. Subscriptions, Billing, Auto-Renewal, and Refunds
Paid subscriptions are billed in advance on a monthly or annual basis and are processed by Gumroad, our payment processor. We do not receive or store your card details. Subscriptions renew automatically at the end of each billing period until you cancel, and you authorize us (or Gumroad on our behalf) to charge the applicable fee for each renewal. You may cancel your subscription at any time before a renewal date through Gumroad or the Service; cancellation takes effect at the end of the current billing period, and you retain access until that period ends. Fees are non-refundable except as required by law or as otherwise stated at checkout. Refunds are handled in accordance with the refund policy displayed at checkout and Gumroad’s terms. We may change subscription fees with notice before the next renewal.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in any way that violates applicable law or regulation.
- Provide false, misleading, or fraudulent information, or use the Service to facilitate tax evasion or fraud.
- Attempt to access another user’s account, data, or the Service’s systems without authorization.
- Interfere with or disrupt the Service, its servers, or connected networks.
- Scrape, copy, or reverse engineer any part of the Service.
- Upload or transmit content that infringes the intellectual property or other rights of any third party.
- Resell or sublicense access to the Service without our written consent.
- Circumvent, disable, or otherwise interfere with usage limits, security features, or the consent mechanisms of the Service.
6. Not Tax Advice
TaxSpring provides bookkeeping tools and planning estimates only. As stated throughout the Service: “This is not tax advice. Consult a qualified tax professional.” We are not a law firm, accounting firm, or tax advisor, and nothing in the Service constitutes legal, accounting, or tax advice for your specific situation. Tax estimates, safe harbor calculations, and deadline reminders are provided for planning purposes only and should be verified with a qualified professional before you act on them.
7. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any estimates, calculations, or exports will be accurate or suitable for your situation. Third-party services used in connection with the Service (such as payment processing and email delivery) are subject to their own terms and are not under our control.
8. Limitation of Liability
To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of or inability to use the Service, even if we have been advised of the possibility of such damages. Our aggregate liability for all claims arising out of or related to the Service will not exceed the greater of one hundred dollars ($100) or the amounts you paid us in the twelve (12) months preceding the claim. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
9. Indemnification
You agree to indemnify, defend, and hold harmless TaxSpring and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
10. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access to the Service, in whole or in part, for violation of these Terms or for any other lawful reason, with notice where practicable. Upon termination, your right to use the Service ends, and we may delete or deactivate your account and data, subject to legal retention requirements. Sections that by their nature should survive termination (including disclaimers, limitation of liability, indemnification, governing law, and dispute resolution) will survive.
11. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Before initiating any proceeding, you agree to attempt to resolve any dispute informally by contacting us, and we will attempt to resolve it within thirty (30) days. If a dispute is not resolved informally, you agree that any claim or proceeding arising out of or related to these Terms or the Service will be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts. If you are a consumer in the European Economic Area or the United Kingdom, nothing in this section deprives you of the protection of the mandatory provisions of your local law or the right to bring proceedings in your local courts.
12. Changes to These Terms
We may update these Terms from time to time. Revised Terms will be posted on this page with an updated “Last updated” date, and we may notify you of material changes by email or in the Service. Your continued use of the Service after the revised Terms are posted constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you should stop using the Service.
